• GP/IM vs Fund;
• selection of jurisdictions’ pros and cons (relative regulatory burden);
• typical types of fund structures;
• classic closed-ended fund vs deal-by-deal structure;
• basic tax implications (inside the fund and for investors, deferred taxation of a fund structure).

• "Closings", capital calls, domiciliation, fund administration, compliance, audit, valuation;
• decision-making process/procedure, cost allocation between underlying investment projects.

• fee income and cash flow timing;
• set-up cost amortization;
